HeroKind AI — Software License & Terms of Sale Version herokind-2026-10-09-sub By checking the box and paying, you (the "Licensee") enter a binding agreement with HeroKind AI governing the Centra application(s) you purchase (the "Software"). You agree: 1. LICENSE, NOT A SALE OF IP. The Software is licensed, not sold. HeroKind AI retains all ownership and intellectual-property rights. You own your copy and your own data; you do not own the underlying software or code. Each license activates on up to two (2) machines you control. 2. PREPARATION, NOT AUTHORITY. The Software is an AI tool that drafts, audits, and prepares. It is not a licensed professional and gives no legal, insurance, financial, tax, or medical advice. A qualified human reviews, decides, sends, signs, and files. Outputs can be wrong; you are responsible for reviewing them and for your work product. 3. PROFESSIONAL USE. Where a product supports regulated work (e.g. legal, insurance), you represent that you are, or are purchasing on behalf of, an appropriately licensed professional, and will use it only within that license. 4. NO RESALE OR REVERSE ENGINEERING. You will not resell, sublicense, share, publish, or redistribute the Software or your license key, and will not reverse engineer or attempt to derive the source or activation scheme, except where such a restriction is prohibited by law. 5. YOUR DATA IS YOURS. The Software runs locally on your data. HeroKind AI does not use your content to train models or to build products for other customers. 6. MONTHLY SUBSCRIPTION; NO REFUNDS; CANCEL ANY TIME. Your license is a monthly subscription, charged to your payment method each month until you cancel. You may cancel at any time and will keep access through the period you have already paid for; we do not refund part-months. Charges already made are final and non-refundable, except where required by law or where we could not deliver a working download or key. 6a. LICENSE DEPENDS ON PAYMENT. Your license stays active only while the subscription is paid. If a payment fails or the subscription is cancelled, the license is SUSPENDED and the Software will stop activating. Suspension is not deletion: if payment is brought current, the same license is reinstated automatically and your data is untouched. HeroKind AI is not responsible for loss of access caused by an expired or declined payment method. 7. AS IS; LIABILITY CAP. The Software is provided "as is," without warranties. To the fullest extent permitted by law, HeroKind AI's total liability for any claim is limited to the amount you paid for the license at issue. 8. LICENSE CONTROL; GOVERNING LAW. Your access runs on a license HeroKind AI issues and may revoke on breach. Governed by the laws of the State of Texas. Takes effect on acceptance and survives termination. By checking the box and paying, you confirm you have read, understood, and agree to be legally bound by these Terms, and that the name and email you provide identify you.
